These Terms of Use (“Terms”) govern your access to and use of the Phenokind platform, applications, websites, products and related services (collectively, the “Platform”), operated by Phenokind Pvt. Ltd. (“Phenokind”, “we”, “us” or “our”).

By creating an account, accessing or using the Platform, you agree to be bound by these Terms and the documents incorporated into them, including our Privacy Policy and Community Guidelines. If you do not agree, you must not use the Platform.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform. By using the Platform, you represent that you satisfy these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You agree to provide accurate information and keep it reasonably current. You must not impersonate another person or create an account for a person other than yourself without authorization.

We may suspend or terminate accounts that violate these Terms, our Community Guidelines, or applicable law.

A core part of Phenokind is your ability to tell us what you like, dislike, prefer, avoid, value or otherwise consider relevant to your decisions (“Preference Information”).

Preference Information may include explicit statements you provide, selections you make, ratings, reviews, saved items, interactions, and other information you choose to provide. We may also generate inferred preferences from your use of the Platform.

You understand that explicit preferences and inferred preferences may be used to personalize discovery and recommendations, identify users with potentially similar tastes, and improve the Platform. You may be provided with controls to review, modify or delete certain Preference Information.

Phenokind is designed to give you greater visibility and control over your preferences than systems that rely solely on behavioral inference.

Where the Platform distinguishes between explicit and inferred preferences, an explicit preference is one you directly provide or affirm, while an inferred preference is a conclusion generated from your activity or other available information. Inferences may be incomplete or incorrect, and you should use available controls to correct them where appropriate.

Phenokind provides recommendations, rankings, matches, discovery results and other decision-support information based on available Preference Information and other signals.

Recommendations are not guarantees of quality, suitability, availability, price, safety or performance. You remain responsible for your decisions and should independently evaluate information that matters to you.

Recommendations may include information, reviews, ratings or choices originating from other users. Similarity between two users does not mean that their preferences will be identical in every respect.

The Platform may allow you to identify users whose preferences you consider particularly relevant or trustworthy. Such signals may affect personalization.

You acknowledge that another user's recommendation represents that user's opinion or experience and does not constitute a representation or warranty by Phenokind.

You may submit reviews, ratings, comments, photographs, lists, preferences, recommendations and other content (“User Content”). You retain ownership of User Content that you own.

By submitting User Content, you grant Phenokind a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, display and otherwise use that User Content as reasonably necessary to operate, improve, personalize and promote the Platform.

You represent that you have the necessary rights to submit the User Content and that its use by Phenokind will not violate applicable law or third-party rights.

Reviews and ratings must reflect genuine experiences or opinions. You must not submit fabricated reviews, coordinate artificial ratings, pay or solicit others to create misleading reviews, manipulate recommendation systems, or otherwise interfere with the integrity of Platform rankings or recommendations.

Phenokind may remove, restrict, label or otherwise act on content that it reasonably believes is misleading, fraudulent, abusive or inconsistent with these Terms.

Your use of the Platform is also governed by the Phenokind Privacy Policy and Preference & Personalization Notice. Those documents explain how we collect, use, disclose, retain and otherwise process information.

Depending on the Platform's features and your settings, some profile information, preferences, reviews, ratings, recommendations or activity may be visible to other users.

You should use available privacy controls carefully and should not publish information that you do not want others to see.

The Platform and its software, design, branding, interfaces, databases, features and other materials are owned by or licensed to Phenokind and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, or create derivative works from the Platform or its proprietary components.

The Platform may contain information about restaurants, products, businesses, travel providers, entertainment providers and other third parties. Phenokind does not own or control those third parties and is not responsible for their products, services, availability, conduct, pricing or policies.

Where the Platform links to or facilitates access to third-party services, your use of those services may be governed by separate terms.

If Phenokind offers paid products or services, applicable pricing, billing and cancellation terms will be presented at the relevant point of purchase. Unless otherwise stated, fees are non-refundable except where required by law or expressly provided by Phenokind.

The Platform may contain advertising, sponsored recommendations or other commercial content. Where required, such content may be identified as sponsored or paid. Commercial relationships may affect the presentation of content, but they do not change the terms governing your use of the Platform.

You must not use the Platform to: violate applicable law; infringe rights; harass or threaten others; submit fraudulent or misleading content; manipulate reviews or recommendations; collect information about users without authorization; introduce malware; interfere with Platform operation; scrape or systematically extract data without permission; impersonate others; or circumvent security or access controls.

If you believe User Content or other material on the Platform infringes your intellectual-property rights, you may contact Phenokind using the designated intellectual-property contact information below. We may remove or restrict allegedly infringing material where appropriate.

We may add, modify, suspend or discontinue features of the Platform from time to time. We may also update these Terms. Where required by law, we will provide notice of material changes. Your continued use of the Platform after an updated version becomes effective constitutes acceptance of the revised Terms.

Phenokind may use algorithms, machine learning, artificial intelligence and automated decision-support systems to organize information, infer preferences, identify similarities and generate recommendations.

Automated outputs can be incomplete, inaccurate or unsuitable. You should not treat a recommendation as professional, medical, financial, legal or other specialized advice unless expressly stated otherwise.

You may request deletion of your account through available Platform controls or by contacting us. Certain information may be retained where required by law, necessary to resolve disputes, prevent fraud or abuse, enforce agreements, or otherwise permitted by applicable law.

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis. Phenokind does not warrant that the Platform will always be accurate, uninterrupted, secure, error-free or suitable for every purpose.

Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited under applicable law.

To the maximum extent permitted by applicable law, Phenokind will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, data or goodwill, arising from your use of the Platform.

Any aggregate liability cap should be finalized by Indian counsel based on the Company's business model, applicable consumer-protection requirements and other mandatory law.

To the extent permitted by law, you agree to indemnify and hold harmless Phenokind and its officers, directors, employees and agents from claims, liabilities, losses and expenses arising out of your breach of these Terms, unlawful use of the Platform, or infringement of third-party rights through your User Content or conduct.

These Terms will be governed by the laws of India. Subject to any mandatory consumer or statutory rights, disputes will be subject to the courts and dispute-resolution mechanisms specified by Phenokind in the final version of these Terms.
